MDS (Canada) and Rad Source Technologies entered into a license agreement dealing with the sale of medical equipment designed by Rad Source to treat blood before transplants to reduce side effects. A contract dispute arose. The two companies went to federal court. When the case reached the 11th U.S. Circuit Court of Appeals, the federal appellate court said it had jurisdiction in the case but had to certify a question of Florida law to this Court to be settled. The issue deals with the transfer of interests in a license agreement to a third party.
